From March through July, 2009 APA is in an exclusive negotiating period with an accomplished wind power developer / prospective development and investment partner with the foresight and values to share our enthusiasm about our projects. Both sides continue to express that we are on course to successfully complete a Joint Venture Agreement.

As of late-Junel, 2009, APA has its final $40,000.00 in bridge funding investment position available in $20K increments to the socially and business opportunity conscious investor(s) that want to get in on the ground floor of an extraordinary wind power projects company being run by some of the industry's most respected and proven leaders. With over 8 years of pioneering utility-scale wind development and energy saving projects to supply clean, renewable energy services to the California and Baja CA markets, APA is well poised for project development and rapid growth. Our "APAIT" contract with the Pai Pai community has contemplated the entrance of development and project investment partners.

We seek to assist the Pai I'Pai and our other landowner partners to maximize their utilization of their patrimony in an environmentally, socially and economically responsible manner.

Prior to the present exclusive Joint Venture negotiating period, APA and APAIT were open to "late early stage" development investment", limited development partnerships, ongoing development partnerships and project Joint Ventures. We viewed our 1000 MW CAISO Clearing Group Position as a significant asset that could be subdivided in Joint Ventures with other developers that wanted to get quick market share in this border region. APA has been the beneficiary of several California Energy Commission International Energy Fund Grants, and will continue to seek concessionary project financing to reduce equity requirements. We believe that we can have our first utility scale Baja wind project operational by 2012, and be exporting power to California by 2014.

Our new JV may be open to selling off parts of it's portfolio after 2010.

In addition to our experience in Mexico on the Electrica del Valle de Mexico La Ventosa wind power project, our assets include:

* Strong profitability and risk management oriented, innovative ownership team with proven top level experience in the wind power industry, including projects development in Mexico and California. (With the 2008 President of The American Wind Energy Assoc.,the founder of Nordic Windpower Turbine mfrs. (now largely passive, advisory capacity with APA) and a winner of Harvard's Ames Award For Character & Leadership.)

* 1500 MW of developable windy land under 31+ year contract, 80 miles from San Diego - This can supply electricity to over 500,000 California homes and to Baja CA municipalities and industry. A growing high-quality wind resource land portfolio. Excellent solar sites also under contract. Initial Tru-Wind Meso Map Studies confirming class 4-7 wind.

* CAISO (CA PowerTransmission Line Operator) Clearing Group position for 1000 MW ($2.6 billion dollars of renewable power generation facility construction); putting us in the special 2009 Transitional Transmission Planning Process for priority access to transmit power to CA utilities starting as early as 2011. Developers queued after

us will wait many years for access.

* Excellent political support at the local and national levels in Mexico. In-country know-who & know-how (see Congressional support letter). A much matured institutional environment favorable to renewable energy development. Positioned to supply clean power and utility scale energy saving projects under the Self-Supply Provision of the Electric Public Service Law and other pertinent codes.
